Terms of Sale

These are the Terms and Conditions of Sale (“Terms”) constitute a binding agreement between you and The PaddleMate LTD. (the „Company”). These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service with respect to your online order of the Paddlemate product(s) (such product(s), the “Device”) and subscription to the Paddlemate services via www.thepaddlemate.com (“Order”) and to your use of the Device as further described below. As set forth during the online Device order process (“Order Process”), in consideration for your Order you shall pay the subscription fees in accordance with the subscription plan chosen by you (“Subscription Fees” and the “Subscription Plan“, respectively), as well as any additional payments (if any), as set forth in the Subscription Plan. The Device is accompanied by Paddlemate mobile application (“App”), downloadable at the Google Play or App Store and functional upon commencement of your Subscription Plan and full compliance with it.

You may order the Device as a whole, or any of the components of the Device separately. For clarity, all references to the Device in these Terms apply to the Device and/or any components thereof. It is clarified that the Subscription Fees shall be paid in full regardless of any partial purchase of the Device components.

These Terms also apply to purchases of the Device not directly from Paddlemate, including via resellers and/or authorized websites, in relation to which a Subscription is ordered.

Please read the following Terms carefully before placing an Order so that you are aware of your legal rights and obligations with respect to Paddlemate. By completing your Order, you expressly acknowledge and agree that you are entering a legal agreement with Paddlemate and have understood and agree to comply with, and be legally bound by, these Terms.

  1. AUTHORIZED PARTNERS

Paddlemate may collaborate with certain brands (collectively, the “ Paddlemate Authorized Partners”) to offer the capability to integrate certain Paddlemate Devices into certain other products offered by the Paddlemate Authorized Partners.  We will identify the Paddlemate Authorized Partners and any products associated therewith in the Store.

  1. AVAILABILITY

All Orders are subject to availability.  When placing your Order, the confirmation notice will display whether the item is in-stock (an “In-Stock Product”), out-of-stock (an “Out-Of-Stock Product”), or a pre-order (a “Pre-Ordered Product”) and may provide an estimated delivery time frame. While we make every effort to ensure that the actual availability of a product is reflected on our website, if any product turns out to be unavailable after you place an Order, we will inform you as soon as possible by email and will not charge you for that Order. Your Order is not confirmed until we provide you the delivery information.

  1. PRICE AND ORDER

The total price for the Devices you are purchasing will be stated on the confirmation notice displayed at the last step of the ordering transaction before you confirm your purchase, and, upon your acceptance of the confirmation notice as well as all of the terms and conditions of this Agreement, the notice becomes your “Order”, an offer to us to purchase such Devices on the terms set out therein and this Agreement. 

  1. PAYMENT

Terms. Any payment terms presented to you in the process of purchasing your Devices are deemed part of these Terms of Sale and are incorporated herein by reference. For all orders, Paddlemate calculates and charges sales tax in accordance with applicable laws. By providing a credit card or other payment method accepted by Paddlemate, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (to charge your payment method for the total amount of your order (including any applicable taxes and other charges)). If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any payment problem we encounter in order to proceed with your order. In the event you want to change or update payment information associated with your Account, you can do so at any time by logging into your Account at https://thepaddlemate.com/ and editing your payment information.

Billing. We may collect payments for the Devices from you directly or we may use a third-party payment processor (“Payment Processor”) to bill you through a payment account selected by you at checkout or linked to your Account. The processing of payments by a Payment Processor will be subject to the terms, conditions and privacy policies of such Payment Processor in addition to these Terms of Sale. We are not responsible for any errors by a Payment Processor. By choosing to purchase a Device, you agree to pay us, either directly or through a Payment Processor, all amounts for the applicable order in accordance with the applicable payment terms and you authorize us, through a Payment Processor, to charge your chosen payment provider (your “Payment Method”). You agree to make payment using your selected Payment Method. We reserve the right to correct any errors or mistakes that we or a Payment Processor make even if we or a Payment Processor have already requested or received payment.

Payment Method. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If we, through a Payment Processor, do not receive payment from you, you agree to pay all amounts due for your order and/or on your Account upon demand.

  1. RESALE AND TITLE TRANSFER

Purchases made on the Store are intended for end users only and are not authorized for resale. We reserve the right to refuse or cancel your order if we suspect you are purchasing Devices for resale. Title for Devices purchased from the Store passes to the purchaser at the time of delivery by Paddlemate to the freight carrier, but Paddlemate and/or the freight carrier will be responsible for any Device loss or damage that occurs when the Device is in transit to you.

  1. SHIPPING AND DELIVERY

Our delivery charges and methods are as described on the Store website. The estimated arrival or delivery date is not a guaranteed delivery date for your order, and you agree that we are not liable for late deliveries. Refused deliveries will be returned to our warehouse. It may take up to XX days for the returned items to be identified as refused and processed for a refund.

  1. RETURNS FOR REFUND

Our Return Policy for Devices. Paddlemate accepts all unworn apparel and accessory returns within XX days of delivery, unless marked as final sale. To initiate a return, please visit xx and submit a request. Paddlemate reserves the right to reject the return if the product is worn or used. In this case, the member will not receive a refund.

Exchange Policy. Members can exchange purchases of apparel and accessories for free. Paddlemate accepts all unworn apparel and accessory exchanges within XX days of delivery, unless marked as final sale. To initiate a return, please visit xx and submit a request. Paddlemate reserves the right to reject the return if the product is worn or used. In this case, the member will be charged for the exchanged product.

  1. COMPATIBILITY

Devices sold through the Store and by Paddlemate Authorized Partners are the only items compatible with the Devices. You agree that lack of compatibility does not constitute a defect giving rise to a claim under our Limited Warranties described below or as found in our Terms of Use. Furthermore, you will be solely responsible for damage resulting to your Device, and any other peripherals, accessories, or apparel used in conjunction with the Device, due to your use of any product or service that is not compatible with the Device.

  1. WARRANTIES AND DISCLAIMERS

EXCEPT FOR THE LIMITED WARRANTIES LISTED BELOW, TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE STORE, AND ALL PRODUCTS, SERVICES, AND CONTENT AVAILABLE ON THE STORE, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF ANY KIND. WE HEREBY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

You use any and all Device s at your own discretion and risk. You will be solely responsible for (and Paddlemate disclaims) any and all loss, liability, or damages resulting from your use of a Device, including damage or loss to your Device, and any other peripherals, accessories, or apparel connected to the Device.

The Limited Warranties described below do not apply to third-party products, peripheral, accessories, or apparel that may be sold. For warranty issues related to those products, please contact that manufacturer.

  1. UPGRADE POLICY

Payment of a one-time-fee to upgrade or replace your Paddlemate Device will not change the terms of your Membership and any related services.

If an upgraded or replacement Paddlemate Device is provided to you as part of a Membership renewal offer then the new Membership period will begin immediately upon purchase and remaining days in your current Membership, if any, will be appended to your account.
